1. Acceptance of the Terms

By accessing or using our services—including but not limited to the Paywrd Wallet, our subscription plans (SepratePlans), the Word to Money Converter, and the ReelNinja platform—you agree to be bound by these Terms of Use (“Terms”) and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services. We reserve the right to modify these Terms at any time, and your continued use of the services constitutes acceptance of those changes.

2. Description of Services

Our platform offers a suite of tools designed to reward user engagement. This includes a digital wallet for managing virtual points, tiered subscription plans that grant enhanced privileges, and features that allow users to earn points through content submissions (ReelNinja) and interactive tools (Word to Money Converter). These points can be withdrawn as real currency, subject to the conditions outlined in these Terms.

3. User Accounts and Responsibilities

  • Account Requirement: Most features, including withdrawals, subscriptions, and submissions, require you to be a registered and logged-in user.
  • Account Security: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
  • Accurate Information: You are solely responsible for providing and maintaining accurate personal and financial information, particularly your bank account details for withdrawals. We are not liable for any funds lost or misdirected due to incorrect information provided by you.

4. Virtual Points and Currency

  • Nature of Points: All points earned on the platform (including “Naira” points) are a form of virtual currency. They function as a limited, revocable license for use within our services and do not have any cash or monetary value until a withdrawal is successfully processed by us.
  • No Property Rights: You acknowledge that you do not own the points in your account but rather acquire a limited license to use them. We reserve the right to manage, regulate, modify, or eliminate these points at our sole discretion, without liability to you.
  • Earning Points: Points are earned based on specific actions, such as the calculated “economic value” of a word or the verified view count of a submitted reel. These calculation methods are proprietary and can be changed at any time.

5. Withdrawal and Payment Policy

  • Processing Schedule: All withdrawal requests are processed on Fridays only.
  • Cooldown Period: A mandatory 7-day waiting period is enforced between the submission of each withdrawal request.
  • Minimum Amounts: Withdrawals are subject to minimum amounts determined by your active subscription plan and user role. You cannot request a withdrawal if your balance is below this threshold.
  • Administrative Review: All withdrawal requests are subject to review for compliance with these Terms. We reserve the right to deny any request if fraudulent activity, system abuse, or a violation of these Terms is suspected.

6. Subscription Plans (SepratePlans)

  • Role-Based Access: Subscriptions grant you a specific user role that unlocks certain benefits, such as higher usage limits and lower withdrawal minimums.
  • Fixed Duration and Expiry: All plans have a fixed duration (e.g., monthly, yearly). Upon expiry, your account’s user role and associated privileges will automatically be reverted to a default state unless the subscription is renewed.
  • Third-Party Payments: Payments for subscriptions are handled through third-party processors (e.g., Flutterwave). By subscribing, you agree to their terms and conditions.

7. User-Generated Content (ReelNinja)

  • License Grant: By submitting a URL to your reel, you grant us a non-exclusive, worldwide, royalty-free license to access, view, and assess the content for the sole purpose of verifying its view count and awarding points.
  • Content Ownership: You represent and warrant that you own the content you submit or have the necessary rights and permissions to submit it.
  • Verification: A mandatory 24-hour waiting period from the time of submission is required before points can be awarded. This allows for a stable view count to be established. The final decision on the number of points awarded rests with our administrators.

8. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Using any automated system, such as bots or scripts, to interact with our earning features (e.g., the Word to Money Converter) to generate points illegitimately.
  • Creating multiple accounts to circumvent usage limits or other restrictions.
  • Submitting fraudulent, false, or misleading information, including fake reel URLs or inaccurate bank details.
  • Submitting content that is illegal, defamatory, harassing, or infringes upon the intellectual property rights of others.
  • Attempting to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from the servers running the service.

Violation of these rules will result in the immediate termination of your account, the forfeiture of all accumulated points, and may be reported to the relevant authorities.

9. Termination

We may terminate or suspend your account and bar access to the services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Terms. Upon termination, your right to use the service and any license to virtual points will cease immediately.

10. Disclaimer of Warranties and Limitation of Liability

The services are provided on an “AS IS” and “AS AVAILABLE” basis. We make no warranties, express or implied, regarding the operation of our services or the information, content, or materials included therein. To the fullest extent permissible by law, we disclaim all warranties. We will not be liable for any damages of any kind arising from the use of this site, including, but not limited to, direct, indirect, incidental, punitive, and consequential damages.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.
